General Terms of Sale (GTS)

The sale of Guides is concluded between the Buyer and the Creator. The Guidssy platform acts as an intermediary (collection agent/billing agent if applicable).
1. Purpose and contractual documents
These GTS govern the sale of digital Guides (mainly PDF, and where applicable videos, texts, images) offered via the [Service Name] platform (the "Platform").
In addition: T&Cs, Privacy Policy, Cookie Policy, Affiliation Policy, legal notices, and Stripe conditions where applicable.
2. Sales framework & role of parties
2.1. "Marketplace – Intermediary" model
- Sales contract: concluded directly between the Creator (seller) and the Buyer.
- Collection: handled by Stripe; the Platform may act as collection agent and/or billing agent (self-billing) on behalf of the Creator.
- Invoicing: issued in the name and on behalf of the Creator (self-billing possible if accepted by the Creator).
- Content/price responsibilities: incumbent on the Creator (see 7, 10, 14).
3. Products & availability
- Nature: digital content without physical media; personal use license, non-exclusive and non-transferable (see 11).
- Descriptions & prerequisites: each listing specifies the content, format, language, estimated size, and technical prerequisites (PDF reader, recent browser, disk space, internet connection).
- Availability: publication, unpublication, updates at the Creator/Platform's discretion (access to previous purchases maintained according to 12).
4. Prices, currencies, taxes
- Displayed prices: [incl./excl. VAT] in [default currency]; conversion possible to [EUR/USD/GBP] for information.
- VAT: applied according to the seller's tax location (Creator or Platform depending on model) and buyer's (EU OSS/B2C rules) – [to customize].
- Promos/codes: discounts, coupons, gift cards according to conditions in effect at the time of order.
- Price errors: in case of obvious error, the order may be canceled and refunded.
5. Customer account
Purchase via customer account (verified email). The Buyer undertakes to provide accurate data and keep their credentials confidential.
6. Order process
Add to cart → 2) Summary (price, taxes, promo code) → Acceptance of GTS/T&Cs and, for digital content, consent to immediate execution with waiver of right of withdrawal → Payment via Stripe → 5) Confirmation email → 6) Access to download/online reading.
7. Payment & security
- Methods: credit card (3-D Secure depending on bank), Apple/Google Pay if available, other Stripe methods depending on country.
- Failure/risk: the Platform/Stripe may refuse or cancel the order in case of suspected fraud/non-payment.
- Invoice: made available by the creator in the client area and/or by email.
8. Delivery / Access
- Deadlines: immediate access after validated payment.
- Methods: online reading (streaming/viewing).
- Technical limits: number of downloads, anti-sharing, watermark/DRM possible to combat counterfeiting.
9. Right of withdrawal (digital content)
In accordance with art. L221-28 Consumer Code (EU 2019/770), no right of withdrawal for digital content not provided on physical media after: (i) your prior express agreement for execution, and (ii) your waiver of the right of withdrawal. The acceptance box is displayed during payment; without this acceptance, the sale cannot proceed.
10. Compliance, quality & support
- Compliance guarantee (EU 2019/770): the Creator/seller provides content compliant with the description and necessary updates for compliance for a reasonable period [to specify].
- Defect reporting: via support email with proof of purchase, description and screenshots.
- Fixes/replacement/refund: depending on the nature of the defect and applicable legal framework (priority to fixes/updates, otherwise partial/total refund).
- Exclusions: non-compliances due to the Buyer's environment (incompatible devices, outdated versions, no connection) if prerequisites were not met.
11. Usage license
- Granted rights: strictly personal and private use, non-assignable, non-transferable, non-commercial.
- Prohibitions: public sharing, resale, publication on third-party platforms, making available, substantial extraction, removal of watermarks/DRM, reverse engineering.
- Sanctions: account suspension, termination, civil/criminal actions.
12. Access over time & updates
- Access to purchases: maintained for the reasonable lifespan of the Service; the Platform may offer a final download.
- Removal/unpublication: in case of Guide removal: download still available for 900 days, or replacement/equivalent guide, or refund if no reasonable access is possible. (Choose and specify the policy.)
13. Refunds
- Outside legal defect: exceptional refunds (double purchase error, fraudulent order, proven inability to access despite prerequisites) – at the seller/Platform's discretion.
- Procedure: request within 14 days via support with justifications; refund to the original method upon validation.
- Affiliation: in case of refund, the related affiliate commission is canceled/reversed.
14. Responsibilities
- Creator (marketplace) / Seller (reseller): content, description, price, quality, compliance and rights.
- Platform: access/transaction service; no a priori editorial responsibility (cf. T&Cs).
- Limitation: within legal limits, the overall financial liability to the Buyer is capped at the amount paid for the Guide in question.
- Force majeure & maintenance: suspensions possible without compensation.
15. Anti-fraud and abuse fight
The Platform/Stripe may require verifications (KYC), block/suspend a payment, cancel an order, or close an account in case of suspected fraud/abuse/abnormal chargeback.
16. Affiliation program (reminder)
Detailed conditions in the Affiliation Policy: eligibility, cookie duration (30 days), commission scale, payment thresholds, prohibitions (spam/branded SEA), cancellations in case of refund/fraud.
17. Personal data
Processing described in the Privacy Policy. Legal basis: contract execution, legal obligations (accounting, anti-fraud fight), legitimate interest (Service improvement). GDPR rights and DPO contact: [DPO email].
